2. Restrictions On Use 

1. This Site is intended for and directed to individuals 18 years of age or older. By using this Site, you represent and warrant to us that you are at least 18 years old and have the legal capacity to enter into these Terms of Use. If you are not at least 18 years old, you must exit this Site immediately.

AND ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS WILL NOT BE LIABLE, WHETHER IN CONTRACT, TORT, STRICT LIABILITY, EQUITY OR UNDER ANY OTHER LEGAL THEORY, FOR ANY PERSONAL INJURY, LOSS, ACCIDENT OR DEATH OR ANY DIRECT, INDIRECT, PUNITIVE, CONSEQUENTIAL, INCIDENTAL OR SPECIAL DAMAGES (INCLUDING WITHOUT LIMITATION LOST PROFITS, COST OF PROCURING SUBSTITUTE SERVICE OR LOST OPPORTUNITY) ARISING OUT OF OR IN CONNECTION WITH THE USE OF THE SITE, CONTENT, OR A LINKED SITE, OR FOR ANY DELAY OR INABILITY TO USE THE SITE, CONTENT, OR A LINKED SITE, EVEN IF WE ARE MADE AWARE OF THE POSSIBILITY OF SUCH INJURY, LOSS, ACCIDENT, DEATH OR DAMAGES. 10. Indemnity 

1. YOU HEREBY AGREE TO DEFEND, INDEMNIFY AND HOLD HARMLESS E.A. STUDIOS (JASPER) LTD. AND ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, SUCCESSORS, ADMINISTRATORS AND ASSIGNS (THE “INDEMNIFIED PARTIES”) FROM AND AGAINST ALL LIABILITIES, CLAIMS, ACTIONS, CAUSES OF ACTION, COSTS AND EXPENSES (INCLUDING LEGAL EXPENSES ON A FULL INDEMNITY BASIS AND ANY OTHER FEES AND EXPENSES INCURRED FOR INVESTIGATING OR DEFENDING ANY ACTION OR THREATENED ACTION, AS WELL AS SETTLEMENT COSTS) WHICH ANY OF THE INDEMNIFIED PARTIES MAY SUFFER OR INCUR IN CONNECTION WITH ANY CLAIM ARISING OUT OF OR RESULTING FROM:  

1. YOUR OR ANY PERMITTED MINOR’S VIOLATION OF ANY OF THESE TERMS OF USE; 

2. YOUR OR ANY PERMITTED MINOR’S USE OR MISUSE OF THE SITE, CONTENT OR SERVICES, INCLUDING BUT NOT LIMITED TO YOUR OR A PERMITTED MINOR’S PERSONAL INJURY OR DEATH; 

3. YOUR OR A PERMITTED MINOR’S USE OR MISUSE OF ANY LINKED SITES; AND, 

4. YOUR OR ANY PERMITTED MINOR’S  VIOLATION OF ANY LAW OR THIRD PARTY RIGHTS. 

2. WITHOUT DEROGATING FROM OR EXCUSING YOUR OBLIGATIONS UNDER THIS SECTION WE RESERVE THE RIGHT (AT YOUR EXPENSE), BUT ARE NOT UNDER ANY OBLIGATION, TO ASSUME THE EXCLUSIVE DEFENSE AND CONTROL OF ANY MATTER WHICH IS SUBJECT TO AN INDEMNIFICATION BY YOU EVEN IF YOU CHOOSE TO DEFEND OR SETTLE IT.  YOU AGREE NOT TO SETTLE ANY MATTER THAT IS SUBJECT TO AN INDEMNIFICATION BY YOU WITHOUT FIRST OBTAINING OUR EXPRESS APPROVAL. 

11. General 

1. These terms are dated March 8, 2022 No changes to these terms are valid or have any effect unless agreed by us in writing. We reserve the right to vary these Terms of Use from time to time. Our new terms will be displayed on the Site and by continuing to use and access the Site following such changes, you agree to be bound by any variation made by us. It is your responsibility to check these Terms of Use from time to time to verify such variations. 

2. Unless otherwise expressly stated in these Terms of Use, all notices from you to us must be in writing and sent to us using Our Contact Information at:

If any part of these Terms of Use is unenforceable (including any provision in which we exclude or limit our liability to you) the enforceability of any other part of these Terms of Use will not be affected. If we choose not to enforce any right that we have against you at any time, then this does not prevent us from later deciding to exercise or enforce that right. 

5. These Terms of Use (together with the Privacy Policy and, if you choose to purchase any Product(s) from the Site, the Purchase Terms and Conditions) contain the entire understanding and agreement between us and you in relation to your use of the Site and supersede and replace any representation, statement or other communication (whether written or otherwise) made by you or us which is not contained herein. Save for fraud or fraudulent misrepresentation, we shall have no liability for any such representation being untrue or misleading.

7. These Terms of Use shall be construed in accordance with and governed by the laws of the Province of Alberta and the laws of Canada. Any legal proceedings in any way related to the site or E.A. Studios (Jasper) Ltd. shall be filed only in the Province of Alberta and heard in the appropriate court in Calgary, Alberta. 

8. The failure or delay by E.A. Studios (Jasper) Ltd. to enforce or insist upon strict performance of any provision included in these Terms of Use does not constitute a waiver of such rights or in any way affect the enforceability of these Terms of Use (or any of provisions contained herein) or deprive E.A. Studios (Jasper) Ltd. of the right, at any time or from time to time, to enforce or insist upon strict performance of any provision provided herein. Any waiver by E.A. Studios (Jasper) Ltd. of any provision herein is effective only if in writing and signed by a duly authorized representative of E.A. Studios (Jasper) Ltd. . 

9. You acknowledge that E.A. Studios (Jasper) Ltd. may commence an action against you in order to enforce these Terms of Use, and that we may seek damages and/or equitable relief against you for any breaches of these Terms of Use.  

10. If any provision of these Terms of Use is determined by a court of competent jurisdiction to be illegal, invalid or unenforceable, that provision will be severed from these Terms of Use and the remaining provisions will continue in full force and effect, without amendment
